Affiliate Partner Terms

Important: These Affiliate Partner Terms (“Partner Terms”) are a binding agreement between you (“Partner”, “you”) and OEMDrive Ltd (company registered in England and Wales, trading as OEMVex, “we”, “us”). They supplement our general Terms of Service and Privacy Policy where you also use OEMVex as a customer. This document is not legal advice.

1. The program

OEMVex operates a partner (“affiliate”) program allowing approved promoters to earn commission when new UK trade and field-service businesses subscribe to paid OEMVex plans using your referral link. Commission rates and caps are stated on oemvex.com/affiliates and in your partner dashboard at the time of each referral’s first payment. Current standard offer: 20% of qualifying subscription payments for the first 12 months per referred business, plus a £25.00 one-off bonus on the first paid subscription invoice after trial, subject to the rules below.

2. Eligibility & application

• You must be 18+ and able to enter contracts in your country.
• Applications are reviewed manually; we may approve or reject any applicant without giving reasons.
• We may require identity, tax, or business information before payouts.
• Employees of OEMDrive Ltd and immediate family are not eligible unless we agree in writing.

3. Referral links & attribution

• You will receive a unique code and link (e.g. https://oemvex.com/?ref=your-code).
• Attribution uses a 90-day cookie and/or last-touch rules we implement in software. If multiple partners market to the same business, only one attribution will apply (typically the valid code at signup).
• Each referred tenant (business account) can only generate commission for one Partner.
• Moving or re-registering a business to obtain duplicate commission is prohibited.

4. Qualifying commissions

Commission is earned on successful paid subscription charges processed through OEMVex billing (e.g. Stripe), after any trial, minus refunds and chargebacks we honour.

• Recurring commission: 20% of the net subscription amount actually collected for up to 12 months from the referred business’s first paid subscription invoice.
• First-payment bonus: £25.00 once per referred business on that first paid invoice (if the program is active).
• No commission on: free trials alone; one-off AI credit packs unless we state otherwise; fees not collected; your own account; accounts we deem fraudulent or in breach of our Terms.

Commission percentages and durations may change for new referrals in the future. We intend to honour terms locked at attribution for existing referrals once grandfathering is implemented in the platform; until then, published program settings at invoice time apply.

5. Holds, reversals & minimum payout

• Commissions enter a 30-day hold before becoming payable (refund/chargeback window).
• Refunded or disputed payments may reverse related commission.
• Minimum payout request: £50.00 payable balance unless we agree otherwise.
• You request payout in the dashboard; OEMVex approves each payout (bank transfer, PayPal, or Stripe Connect where enabled). We are not obliged to pay amounts we reasonably dispute.

6. Marketing standards

You must market honestly and in line with UK advertising standards (ASA/CAP) and consumer law.

• Do not claim OEMVex is HMRC-approved, unlimited, or guaranteed to increase revenue.
• Disclose affiliate relationships (#ad, “affiliate link”, or equivalent) where required.
• Do not bid on our trademarks (e.g. “OEMVex”) in paid search without written permission.
• Do not send spam, misleading pop-ups, or cookie stuffing.
• AI features: Smart Quote and your assistant (AI credits) are subject to plan limits and fair usage. Do not promise unlimited AI, specific tax outcomes, or features listed as planned on our site.

7. Independent contractor

You are an independent contractor, not an employee, agent, or partner in a legal partnership sense. You have no authority to bind OEMDrive Ltd. You are responsible for your own tax, NIC, and business registrations arising from commission income.

8. Intellectual property

We grant a limited, revocable licence to use OEMVex name, logo, and approved assets for promotion. You must follow any brand guidelines we publish and stop using marks if we terminate the program or your account.

9. Suspension & termination

We may suspend or terminate your partner account immediately for breach, fraud risk, reputational harm, or program wind-down. On termination, payable earned commission (after holds) will be paid subject to these terms; future commissions cease. You may stop promoting us at any time; accrued payable commission remains subject to payout rules.

10. Liability

To the fullest extent permitted by law, our total liability to you arising from the partner program is limited to commission actually paid to you in the twelve months before the claim. We are not liable for indirect loss, lost profit, or lost referrals due to tracking limitations, cookie blockers, or product changes. Nothing limits liability for death, personal injury from negligence, or fraud.

11. Data protection

We process your application and payout data as controller under UK GDPR. See our Privacy Policy. You must not misuse personal data of anyone you market to; if you collect leads, you need your own lawful basis and privacy notice.

12. Changes

We may update these Partner Terms and commission economics with notice on this page and/or email. Material adverse changes to existing referrals will follow grandfathering rules once available in software. Continued promotion after the effective date constitutes acceptance.

13. Governing law

These Partner Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer rights where applicable.
